1. General Provisions
1.1. This Offer is the official proposal of the online store operated by Sole Proprietor (FOP) Hurin Pavlo Leonidovych, hereinafter referred to as the “Seller”, to enter into a Distance Sales Agreement for the purchase and sale of goods through the online store, hereinafter referred to as the “Agreement”, and constitutes a Public Offer posted on the official website (hereinafter referred to as the “Website”).
1.2. The moment of full and unconditional acceptance by the Buyer of the Seller’s offer (acceptance) to conclude an electronic sales agreement shall be deemed the completion of an Order on the Website, regardless of the selected payment method (including cash on delivery).
2. Terms and Definitions
2.1. For the purposes of this Offer, unless otherwise required by the context, the following terms shall have the following meanings:
“Goods” – products, accessories, components, and related items;
“Online Store” – in accordance with the Law of Ukraine “On Electronic Commerce”, a means of offering or selling goods, works, or services by concluding an electronic transaction.
“Seller” – the company selling the goods presented on the Website.
“Buyer” – an individual or legal entity that has entered into this Agreement with the Seller under the terms set forth herein.
“Order” – a request for the delivery of one or more products from the Seller’s catalog, placed by the Buyer through the shopping cart on the Website.
3. Subject of the Agreement
3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
This Agreement governs the sale and purchase of goods through the Online Store, including:
the Buyer’s voluntary selection of goods in the Online Store;
the Buyer’s independent placement of an order through the Online Store;
payment by the Buyer for the order placed through the Online Store;
processing and transfer of the ordered goods to the Buyer under the terms of this Agreement.
4. Order Placement Procedure
4.1. The Buyer has the right to place an order for any product available on the Website by submitting an electronic request through the shopping cart.
4.2. Any product may be ordered in any quantity unless otherwise specified.
4.3. If a product is unavailable, the Seller’s representative shall notify the Buyer by phone or email.
4.4. If a product is unavailable, the Buyer may choose a similar product, remove the unavailable item from the order, or cancel the order entirely.
5. Payment Procedure
5.1. Payment may be made using the methods specified on the Seller’s Website.
Payment may be made by bank transfer based on an invoice issued by the Seller within three calendar days from the date the order is placed.
The Buyer may also pay by Visa or MasterCard. Upon request, the Seller may issue an electronic invoice through the WayForPay payment system.
5.3. If the invoice (electronic invoice) is not paid within three calendar days from the order date, the Seller reserves the right to remove the ordered goods from reservation and cancel the order.
6. Delivery Terms
6.1. Delivery of goods purchased through the Online Store is carried out by Nova Poshta. Delivery costs are not included in the product price and are paid separately by the Buyer.
6.2. The Buyer shall receive all documents required under Ukrainian law together with the order.
7. Rights and Obligations of the Parties
7.1. The Seller has the right to:
suspend fulfillment of obligations under this Agreement in the event of the Buyer’s violation of its terms;
change prices and sales conditions unilaterally without prior notice, including for unpaid orders.
7.2. The Buyer is obliged to:
pay for and receive the ordered goods in a timely manner under the terms of this Agreement.
7.3. The Buyer has the right to:
place orders through the Online Store;
enter into an electronic agreement;
demand that the Seller fulfills the terms of this Agreement.
8. Liability of the Parties
8.1. The Parties shall be liable for non-performance or improper performance of their obligations in accordance with this Agreement and the applicable laws of Ukraine.
8.2. The Seller shall not be liable for:
changes in the appearance of goods made by the manufacturer;
the accuracy and completeness of information provided by the Buyer when placing an order;
delays or interruptions in order processing or delivery caused by circumstances beyond the Seller’s control;
unlawful actions committed by the Buyer using Internet access;
the Buyer’s transfer of access credentials, including IP address, MAC address, login details, or passwords, to third parties.
8.3. The Buyer bears sole responsibility for any damage caused by their actions (including actions performed under their account by another person) to third parties, legal entities, the state, or public morals.
8.4. If the Buyer unreasonably refuses to accept the ordered goods, the Buyer shall reimburse the Seller for delivery expenses in both directions, as well as any other documented costs incurred in fulfilling the order. In such cases, the goods shall be returned to the Seller.
8.5. The Parties shall be released from liability for failure to perform obligations due to force majeure circumstances. Force majeure includes extraordinary and unforeseeable events that objectively prevent performance of this Agreement and could not reasonably have been anticipated or prevented.
8.6. The Parties shall make every effort to resolve disputes exclusively through negotiations.
9. Miscellaneous Provisions
9.1. The Online Store reserves the right to amend this Agreement unilaterally.
9.2. The Buyer is responsible for the accuracy of information provided when placing an order. By accepting this Agreement (placing an order and subsequently paying for it), the Buyer grants the Seller unconditional consent to collect, process, store, and use personal data in accordance with the Law of Ukraine “On Personal Data Protection”.
9.4. By placing an order through the Online Store, the Buyer confirms full acceptance of the terms of this Sales Agreement (Public Offer).
9.5. The effective date of the electronic agreement between the Parties shall be the date of acceptance under Article 11 of the Law of Ukraine “On Electronic Commerce”.
9.6. Use of the Website for browsing products and placing orders is free of charge for the Buyer.
9.7. Information provided by the Buyer is confidential. The Online Store uses such information solely for order processing, communication with the Buyer, delivery of goods, payment processing, and related purposes.
10. Return Procedure for Goods of Proper Quality
10.1. Returns are carried out in accordance with the applicable laws of Ukraine. Returns are accepted only if the product retains its commercial appearance and the required documents are provided.
10.2. Return shipping costs are borne by the Buyer.
10.3. When returning goods of proper quality, the Online Store refunds the amount paid by the Buyer minus delivery costs in both directions and any other documented expenses incurred by the Seller in fulfilling the order. Refunds are processed within 7 (seven) calendar days after the Seller receives:
a written refund request from the Buyer specifying payment details for reimbursement;
the returned goods in proper condition and original packaging.
The Seller shall inspect the returned goods within 3 (three) business days after receipt.
11. Term of the Agreement
11.1. The electronic agreement is deemed concluded when the person who submitted the offer receives acceptance in accordance with Part 6 of Article 11 of the Law of Ukraine “On Electronic Commerce”.
11.2. Prior to fulfillment of the order, this Agreement may be terminated by mutual consent of the Parties through a refund of the paid amount.
11.3. Either Party may terminate this Agreement unilaterally in the event of a breach by the other Party or in cases provided for by the laws of Ukraine.
